1. Introduction
These Terms of Use (“Terms”) govern your access to and use of:
- https://xgr.network and related subdomains (the “Website”);
- XGRChain Explorer (the “Explorer”);
- XGR Builder (including XRC‑137 and XRC‑729 tooling) (the “Builder”);
- developer tooling and integrations we provide or operate (including Hardhat-related tooling, where applicable) (the “Dev Tools”);
- the xDala Engine and related execution/automation interfaces (the “xDala Engine”);
- XGRChain RPC endpoints and related API gateways (the “RPC”); and
- any OTC trading/subscription/order and settlement interfaces we operate (the “OTC Services”);
together, the “Services”.
By accessing or using the Website/Services, you agree to these Terms. If you do not agree, do not use the Website/Services.
2. Who we are
The Website/Services are operated by XGR.Network GmbH (“XGR”, “we”, “us”, “our”). Contact: contact@xgr.network
3. Information published on the Website/Services; no reliance; no fiduciary duty
The Website/Services provide information and materials related to XGRChain, XGR, and the broader ecosystem. Some content may be provided by third parties, including links to third-party websites, exchanges, wallets, or other materials (“Third‑Party Materials”).
You are not authorized to, nor should you, rely on the Website/Services as the basis for any investment, legal, tax, or other decision. We do not act as your agent, adviser, fiduciary, or trustee, and we do not owe you any fiduciary duties.
4. No investment advice; no offer (general Services)
Nothing on the Website/Services constitutes (a) investment advice or a recommendation, (b) an offer to sell or solicitation to buy any crypto-asset or other financial instrument, or (c) a promise of returns. Any offer to the public of crypto-assets (if and when conducted by us) is made solely under (i) the XGR MiCAR Whitepaper and (ii) the XGR Offering & OTC Purchase Terms, together with the public offer page referenced in the Whitepaper (see Section 10).
Crypto-asset markets are volatile and risky.
5. XGR token and protocol description; risk disclosure (non-exhaustive)
XGR is a crypto-asset intended to support network-based functionalities of the XGRChain ecosystem. XGR does not confer ownership, profit-sharing, creditor rights, or redemption rights against us unless expressly stated in mandatory law or explicit written terms.
You acknowledge and accept risks including, without limitation:
- price volatility and liquidity risks;
- regulatory and legal risks (including restrictions in certain jurisdictions, sanctions and AML/CFT requirements);
- smart contract and software risks (bugs, exploits, failures);
- network risks (congestion, reorg/finality assumptions, validator failures, forks, upgrades);
- irreversible transactions and loss of funds due to user error;
- wallet/private key risks (loss, theft, phishing; no recovery by us);
- third-party infrastructure risks (RPC providers, explorers, wallets, bridges, exchanges);
- fee variability (network fees may be significant and non-refundable);
- the crypto-asset may not be covered by any investor compensation scheme; and
- the crypto-asset may not be covered by deposit guarantee schemes.
This list is not complete. You must conduct your own due diligence and consult qualified advisors before engaging with crypto-assets.
6. Blockchain data and irreversibility
Transactions on XGRChain and other public blockchains may be public, immutable, and irreversibly recorded. You are solely responsible for verifying all transaction details before signing or broadcasting.
7. RPC and developer tooling; acceptable use
(a) RPC / API usage
The RPC and any APIs are provided on a best-efforts basis. We may impose rate limits, quotas, authentication requirements, or blocks to protect the Services, prevent abuse, and comply with law.
(b) Prohibited conduct
You must not:
- use the Services for illegal activity or in violation of sanctions/embargoes;
- attempt to bypass security, rate limits, or access controls;
- interfere with or disrupt the Services, networks, or third parties;
- deploy malware, exploit code, or spam; or
- infringe intellectual property or privacy rights.
8. Third‑Party Materials
Third‑Party Materials are not under our control and are provided for convenience only. Your use of Third‑Party Materials is at your own risk and subject to the third party’s terms.
9. Eligibility and compliance
You represent and warrant that:
- you are legally permitted to use the Website/Services under applicable laws;
- you will not use the Website/Services in violation of sanctions, embargoes, AML/CFT rules, or other applicable laws; and
- you will not interfere with or disrupt the Website/Services or attempt to bypass security.
We may restrict, suspend, or terminate access where we believe it is necessary to comply with law, protect security, manage risk, or prevent abuse.
10. OTC Services and any public offer/subscription — precedence; Whitepaper and public offer page
(a) Scope
If we provide OTC Services, subscription/purchase interfaces, or conduct an offer to the public of crypto-assets (each, an “Offering”), additional terms and disclosures apply. Those terms and disclosures include (where applicable):
- “XGR Offering & OTC Purchase Terms” (the “Offering Terms”); and
- the XGR MiCAR Whitepaper (as notified/approved) and the public offer page referenced in the Whitepaper.
(b) Precedence
For any Offering, the Offering Terms and the XGR MiCAR Whitepaper (together with the public offer page referenced in the Whitepaper) govern that Offering and prevail over these Terms to the extent of any conflict.
(c) Compliance checks; holds
We may request additional information, perform checks, or place holds where required for compliance, fraud prevention, or risk management (including sanctions/AML/CFT-related checks). We may reject, cancel, or unwind an OTC order or subscription where we are permitted or required to do so by law, risk controls, or the Offering Terms.
11. Website/Services are tools; no warranties
The Website/Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, uptime/availability, and accuracy.
Information may be delayed, incomplete, inaccurate, or incorrect. You use the Website/Services at your own risk.
12. Limitation of liability
To the maximum extent permitted by law, XGR and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Website/Services or Third‑Party Materials, even if advised of the possibility of such damages.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g., for intent or gross negligence where non-excludable).
13. Indemnity (to the extent permitted by law)
You agree to defend, indemnify, and hold harmless XGR and its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or relating to:
- your use of the Services;
- your violation of these Terms or applicable law;
- your deployment, distribution, or use of software, smart contracts, or other outputs created using the Builder/Dev Tools/xDala Engine; or
- your infringement of any third-party right.
14. Modifications, downtime, maintenance; force majeure
We may modify, suspend, or discontinue the Website/Services (in whole or in part) at any time for maintenance, upgrades, security, compliance, or other reasons. We are not liable for any unavailability.
Force majeure: We are not responsible for delays, failures, or interruptions caused by events beyond our reasonable control, including internet/network failures, blockchain congestion, validator outages, third‑party provider incidents, labor disputes, or governmental actions.
15. Complaints and customer support
You can submit complaints or support requests to: contact@xgr.network For Offerings, complaint handling may be further described in the Offering Terms and the XGR MiCAR Whitepaper (and the public offer page referenced in the Whitepaper).
16. Privacy
Your use of the Website/Services is also governed by our Privacy Notice.
17. Communications
We may communicate with you electronically (e.g., email, Website notices, or in-product messages). You consent to receive such communications in electronic form.
18. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules. If you are a consumer, mandatory consumer protection rules in your country of residence may still apply.
19. Severability
If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
20. Entire agreement
These Terms, together with the Privacy Notice and any additional terms, disclosures, or offering documentation published for specific Services or Offerings (including any Offering Terms and the XGR MiCAR Whitepaper (and the public offer page referenced in the Whitepaper) for an Offering), form the entire agreement between you and XGR regarding the subject matter.
